Terms of Service

These Terms of Service govern access to and use of the HyperReach service, published by TheFactory Labs, a French SAS registered with the Paris Trade and Companies Register (RCS Paris) under number 106 474 638, with registered office at 61 rue de Lyon, 75012 Paris, France.

By creating an account or using the service, you accept these terms in full.

1. Service description

HyperReach is a conversation growth system built for creators and founders. The service lets users write, adapt, schedule and publish posts across several platforms (X, LinkedIn, Threads), with writing assistance in the user's own voice. It also surfaces reply opportunities on X, generates reply suggestions in the user's own voice, and helps track audience relationships.

The core principle of the service: the AI prepares drafts, the user always publishes. No reply is ever sent automatically on the user's behalf. Publishing a reply always happens through X's native composer, on the user's own deliberate action.

2. Account and eligibility

The service is intended for professional (B2B) use: creators, founders and teams growing an audience on X in a professional or entrepreneurial capacity.

Users must be at least 16 years old and have the legal capacity to enter into a contract. Creating an account is done by signing in via Google or X. Depending on the features used, users may connect additional accounts from other platforms (for example LinkedIn or Threads).

Users are responsible for the accuracy of the information provided at signup and for the confidentiality of their credentials.

3. User responsibilities

Users remain solely responsible for the content they publish on X, including reply suggestions generated by the service that they edit or approve before publishing.

Users agree to comply with X's own Terms of Service as applicable to their account, including rules on automation, spam, and coordinated inauthentic behavior.

Users agree not to use the service for unlawful or deceptive purposes, or to harass, defame, or impersonate any third party.

4. AI-generated content

Reply suggestions, post drafts, and other content generated by the service are produced by language models based on the voice profile and context supplied by the user.

These suggestions must always be reviewed and approved by the user before publication. HyperReach does not warrant the accuracy, relevance, or error-free nature of generated content.

The user is the legal author of any content they choose to publish, whether hand-written or suggested by the service.

5. BYOK clause (bring your own API key)

The service offers a “BYOK” mode allowing users to connect their own API key from a third-party AI provider.

In this mode, API usage costs are the user's sole responsibility and are billed directly by the relevant third-party provider. HyperReach is neither a party to, nor responsible for, the contractual relationship between the user and that provider.

The key is stored encrypted and is never displayed in plain text after it is saved. Users may revoke or replace it at any time from account settings.

6. Plans, credits and pricing

Displayed prices are tax inclusive and are communicated before any subscription, on the service's pricing page. The service is currently in invite-only beta.

Service usage is metered in credits. Credits are consumed by certain actions (notably suggestion generation and the opportunity radar). Replies published through the native composer consume zero credits.

A 7-day free trial is offered, no card required, including a credit grant communicated at signup.

7. Billing, renewal and cancellation

Payments are processed by Stripe, a third-party payment provider. HyperReach does not store any card data.

Subscriptions renew automatically at the end of each period (weekly, monthly, or annual depending on the chosen plan), unless cancelled beforehand.

Users may cancel their subscription at any time from account settings. Cancellation takes effect at the end of the current billing period: access to the service remains active until that date, with no pro-rata refund of the period already started, except where required by law.

8. Right of withdrawal

Under French consumer law (article L221-18 of the Code de la consommation), consumers have a 14-day right of withdrawal.

Under article L221-28 of the same code, this right does not apply to digital content supplied on an intangible medium whose performance began after the consumer's prior express agreement and express waiver of the withdrawal right, nor to services fully performed before the end of the withdrawal period with the consumer's agreement.

The 7-day free trial lets users test the service before any financial commitment, which mitigates the practical scope of this exception.

9. Refund policy

Except where required by law (notably the right of withdrawal above), billing periods already started are not refunded on a pro-rata basis upon cancellation mid-period.

10. Service availability

The service is provided “as is” and on a best-efforts basis. HyperReach does not guarantee uninterrupted availability and may temporarily suspend the service for maintenance, updates, or events of force majeure.

The service depends on third-party platforms (notably X, LinkedIn, Threads, AI providers, and the vendors listed on the subprocessors page) whose availability is outside HyperReach's control.

11. Limitation of liability

To the extent permitted by applicable law, HyperReach excludes liability for indirect damages (loss of opportunity, data loss, loss of customers, reputational harm).

HyperReach's total liability under these terms is capped at the amount actually paid by the user over the 12 months preceding the event giving rise to the claim.

12. Suspension for abuse

HyperReach may suspend or terminate an account's access in cases of abusive or fraudulent use, or use contrary to these terms or to X's own terms of service, without notice in urgent cases, or with reasonable notice otherwise.

13. Intellectual property

Users retain full rights to the content they create, edit and publish through the service.

HyperReach retains full intellectual property rights over the software, interface, brand and documentation of the service.

14. Changes to these terms

HyperReach may amend these terms. Any material change will be notified to users (by email or in-app notice) with reasonable notice before it takes effect.

Continued use of the service after notification constitutes acceptance of the amended terms.

15. Governing law and disputes

These terms are governed by French law.

For professional (B2B) users, any dispute regarding the interpretation or performance of these terms falls under the exclusive jurisdiction of the Paris Commercial Court (Tribunal de commerce de Paris).

For consumer users, under article L616-1 of the Code de la consommation, a consumer mediator will be appointed, with contact details published on this page before paid signups open.
